Schneider Electric agrees to buy PTC for $205 a share in cash
Schneider Electric and PTC said Monday they signed a definitive agreement for Schneider to acquire PTC, the U.S. maker of product-design and industrial software, for $205 a share in cash. The deal values PTC's equity at about $22.6 billion (€20.1 billion), with an implied enterprise value of $23.7 billion. Both boards approved it unanimously. It needs PTC shareholder and regulatory approval and is expected to close by the third quarter of 2027. Bloomberg called it Schneider's biggest acquisition, a push into AI-driven industrial software used in automotive, aerospace and medical-device engineering.
Industrial companies are paying up for the software that designs and runs factories, betting AI will make it more valuable. A European buyer for a U.S. software firm also means a long review.
If you own PTC shares, $205 is the cash price on offer. For most readers, the deal is a marker of how much the AI trade now reaches beyond chipmakers.
The closing date, Q3 2027, tells you how much regulatory scrutiny the parties expect. Watch for a U.S. national-security review of foreign ownership of engineering software used by defense contractors.
